Senior Counsel â??

Network Solutions Overview of the Position The Senior Counsel will manage legal business matters pertaining to the several business units within the Network Solutions organization. What will be my duties and responsibilities in this job?

The Senior Counsel will manage legal business matters pertaining to the several business units within the Network Solutions organization. Specifically, the Senior Counsel will: Provide a variety of general corporate, commercial and contractual advice and legal services to internal clients, including the drafting and negotiation of complex agreements and providing guidance and support on emerging businesses and products.

Support sales and channel management and procurement, including managing and supporting the creation of license, evaluation, services, vendor, channel and other contracts, negotiating complex transactions, responding to RFPâ??s/RFIâ??s and other business development opportunities.

Understand business unit partner and vendor relationships and needs and assist with negotiation of transactions.

Support R& D and products and services development, including ensuring all regulatory and related privacy requirements and product and services claims (brochures, manuals, web descriptions) are met before products and services are released into production and maintained thereafter.

Coordinate with internal subject matter teams (privacy, compliance, litigation, investigations, security, procurement, etc.) and outside counsel as needed to support the Network Solutions businesses.

 What are the requirements needed for this position?

Juris Doctor Degree from an ABA accredited law school with excellent academic credentials; admission to practice in good standing as a member of a jurisdiction is required 10 years of experience negotiating complex transactions and providing legal counsel to clients, with the Company or in an equivalent attorney role at another company, not-for-profit, law firm, or government agency.

Experience in healthcare and/or privacy law.

What other skills/experience would be helpful to have?

 Knowledge of various contracting methods (traditional, online, click-through, etc.) Expertise at drafting transactional documents and technology license agreements.

Comprehensive understanding of new business/joint ventures structures, regulatory matters, risk management and contract management.

Excellent interpersonal skills with an ability to provide sound, clear legal advice to clients.

Aptitude to work well with larger team on seeking efficiencies for legal support.
